1. Scope
These General Terms and Conditions of Payment (GTCP) govern the remuneration and payment processing for services provided byGo To Marek – Marek Minar e.U.(hereinafter referred to as "service provider") to the client.
They supplement the service provider's general terms and conditions (GTCP) and apply to all contractual relationships unless expressly agreed otherwise in writing.
2. Prices
All prices are final prices.
The service provider currently applies the small business regulation according to § 6 para. 1 no. 27 UStG (German VAT Act). Therefore, no VAT is charged.
Should the service provider no longer fall under the small business regulation in the future, the agreed remuneration is subject to the applicable statutory value added tax.
3. Invoicing
The service provider is entitled to
- to require down payments
- Billing for services in advance
- to issue interim invoices, as well as
- Services will be billed after completion of individual project phases.
Invoices are generally transmitted electronically via email. Electronic invoices are considered received as soon as they have been sent to the email address specified by the client.
4. Payment structure
4.1 Hourly & Budget Packages
Unless expressly agreed otherwise, payment for hourly and budget packages will be made in two installments:
- 50% of the agreed remuneration upon placement of the order,
- 50% upon consumption of half the hours or budget, but no later than 3 months after the order is placed.
The second installment is due regardless of whether the client has used the hours or the budget within this period.
4.2 Retainer Services
Under retainer agreements, the installments are billed monthly in advance, unless otherwise agreed.
The respective installments are due regardless of whether the agreed monthly hourly or budget quotas have been used within the respective installment periods.
4.3 Thematic service packages
Unless expressly agreed otherwise, payment for thematic service packages will be made in two installments:
- 50% of the agreed remuneration upon placement of the order,
- 50% upon completion of the agreed services, but no later than 3 months after the order is placed.
The second installment is due regardless of whether the agreed service has been fully utilized.
4.4 Other services
Different remuneration models or payment terms can be individually agreed upon in the respective offer or contract.
Services that go beyond the agreed scope of services will be agreed separately or billed according to actual expenses at the agreed hourly rate.
5. Payment terms
Invoices are within 14 days of receiving the invoice without deduction. Payment is due unless expressly agreed otherwise.
6. Payment default
In case of late payment, the statutory default interest rates apply in accordance with Austrian company law.
The client undertakes to bear all dunning, collection and legal fees necessary for the appropriate pursuit of legal action.
7. Suspension of benefits
In case of late payment, the service provider is entitled to
- to suspend ongoing services,
- to withhold further services until full payment is received or
- to terminate existing agreements prematurely for good cause.
The obligation to pay for services already rendered remains unaffected.
8. Usage rights
If the services provided by the service provider contain copyrighted content, concepts, strategies, documentation or other work results, the corresponding rights of use are only transferred to the client after full payment of the respective invoice.
9. Project delays caused by the client
If the provision of services is delayed for reasons attributable to the client, in particular due to lack of cooperation, missing approvals, unprovided content or access, the service provider's right to remuneration remains unaffected.
The service provider is entitled to invoice for agreed services according to the originally planned schedule.
If such a delay lasts longer than 30 days, the service provider is entitled to reschedule the project or to charge separately for additional expenses.
10. Premature termination of projects
If the client terminates a project or an agreed service prematurely, all services rendered up to that point, as well as project capacities already planned, must be compensated.
11. Set-off
The client is not entitled to offset claims of the service provider with his own claims, unless these have been acknowledged in writing by the service provider or have been legally established.
